USE OF GOODS OR SERVICES PROVIDED BY CARE PROVIDERS, SERVICE PARTNERS OR E-COMMERCE
PARTNERS.
If you choose to use one of the care providers, service partners or e-commerce partners
available on GenerationsUnite's Site, the following additional terms and conditions
will apply depending on which service you choose. You should be aware that the goods
and services offered are not intended or designed to attract children under the
age of 18. You understand and agree that Cornerstone may receive money or other
consideration in connection with your use of any goods or services offered on the
GenerationsUnite Site or by any caregiver, service partner or e-commerce partner
available through the GenerationsUnite Site.
INFORMATION YOU SUBMIT: You are using the goods and services offered at your own
risk and you, along with your healthcare provider, if applicable, are personally
responsible for verifying its suitability for your needs.
CHARGES AND BILLING: Any charges and billing are the responsibility of you and the
provider of goods or services offered.
You are responsible for providing a valid credit card number at the time you request
any goods or services. You represent and warrant that you are an authorized user
of such credit card, and you agree to pay all charges resulting from your purchase
at the prices then in effect, including any unauthorized charges incurred prior
to your notifying GenerationsUnite of such charges. You agree that GenerationsUnite
may pass your credit card information and related personally identifiable information
to its designated service provider(s) for their use in charging for appropriate
goods or services. All charges are exclusive of sales or other taxes and you are
responsible for payment of any applicable state, local and city taxes. GenerationsUnite
reserves the right to modify or terminate goods or services offered, change prices,
or institute new charges at any time.
USE OF COMMUNICATION SERVICES
The GenerationsUnite Site may contain bulletin board services, chat areas, news
groups, forums, communities, personal web pages, calendars, and/or other message
or communication facilities designed to enable you to communicate with the public
at large or with a group (collectively, "Communication Services"). You agree to
use the Communication Services only to post, send and receive messages and material
that are proper and related to the particular Communication Service. By way of example,
and not as a limitation, you agree that when using a Communication Service, you
will not:
Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such
as rights of privacy and publicity) of others.

unless such Communication Service specifically allows such messages.
Conduct or forward surveys, contests, pyramid schemes or chain letters.
Download any file posted by another user of a Communication Service that you know,
or reasonably should know, cannot be legally distributed in such manner.
Falsify or delete any author attributions, legal or other proper notices or proprietary
designations or labels of the origin or source of software or other material contained
in a file that is uploaded.
Restrict or inhibit any other user from using and enjoying the Communication Services.
Violate any code of conduct or other guidelines which may be applicable for any
particular Communication Service.
Harvest or otherwise collect information about others, including e-mail addresses,
without their consent.
Post material that infringes on the intellectual property rights of others or on
the privacy or publicity rights of others;
Allow any other person or entity to use your identification for posting or viewing
content.
To protect your privacy, you agree that you will not submit any media that contains
Personally Identifiable Information (like name, phone number, email address or web
site URL.) of you or of anyone else. Uploading media like images or video of other
people without their permission is strictly prohibited.
Violate any applicable laws or regulations.
By using the Communications Services, you agree that any of these actions shall
constitute a material breach of these Terms and Conditions.
When you visit GenerationsUnite or send e-mails to us, you are communicating with
us electronically. You consent to receive communications from us electronically.
We will communicate with you by e-mail or by posting notices on this site. You agree
that all agreements, notices, disclosures and other communications that we provide
to you electronically satisfy any legal requirement that such communications be
in writing.
Cornerstone has no obligation to monitor the Communication Services. However, Cornerstone
reserves the right to review materials posted to a Communication Service and to
remove any materials in its sole discretion. Cornerstone reserves the right to terminate
your access to any or all of the Communication Services at any time without notice
for any reason whatsoever.
Cornerstone reserves the right at all times to disclose any information as necessary
to satisfy any applicable law, regulation, legal process or governmental request,
or to edit, refuse to post or to remove any information or materials, in whole or
in part, in Cornerstone's sole discretion.
Always use caution when giving out any personally identifying information about
yourself or your children in any Communication Service. Cornerstone does not control
or endorse the content, messages or information found in any Communication Service
and, therefore, Cornerstone specifically disclaims any liability with regard to
the Communication Services and any actions resulting from your participation in
any Communication Service.
Materials uploaded to a Communication Service may be subject to posted limitations
on usage, reproduction and/or dissemination. You are responsible for adhering to
such limitations if you download the materials.
MATERIALS PROVIDED TO CORNERSTONE OR POSTED AT ANY GENERATIONSUNITE SITE
Cornerstone does not claim ownership of the materials you provide to Cornerstone
(including feedback and suggestions) or post, upload, input or submit to any public
areas of the GenerationsUnite Site or its associated services (collectively "Public
Submissions"). However, by posting, uploading, inputting, providing or submitting
your Public Submission you are granting Cornerstone, its affiliated companies and
necessary sublicensees, permission to use your Public Submission in connection with
the operation of their Internet businesses including, without limitation, the rights
to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit,
translate and reformat your Public Submission; and to publish your name in connection
with your Public Submission.
No compensation will be paid with respect to the use of your Public Submission,
as provided herein. Cornerstone is under no obligation to post or use any Public
Submission you may provide and may remove any Public Submission at any time in Cornerstone's
sole discretion.
By posting, uploading, inputting, providing or submitting your Public Submission
you warrant and represent that you own or otherwise control all of the rights to
your Public Submission as described in this section including, without limitation,
all the rights necessary for you to provide, post, upload, input or submit the Public
Submissions.
Consent To Collection, Use & Disclosure of Your Personal Information. As more fully
described in our Privacy Policy, (click here to view), you must disclose certain
Personally Identifiable Information to use the Site, register, and make purchases.
As a condition of registering with the Site or making any purchases of any products
and/or services or conduct any transactions, you represent that you have first read
our Privacy Policy and consent to the collection, use and disclosure of your Personally
Identifiable Information and Non-Personally Identifiable Information as described
in our Privacy Policy. Our Privacy Policy's terms and conditions will change from
time to time, and as a condition of browsing the Site, using any features or making
any purchase, you agree that you will first review our Privacy Policy prior to making

to your private information. IN NO EVENT SHALL CORNERSTONE OR ITS AFFILIATES BE
LIABLE FOR ANY DAMAGES (WHETHER CONSEQUENTIAL, DIRECT, INCIDENTAL, INDIRECT, PUNITIVE,
SPECIAL OR OTHERWISE) ARISING OUT OF, OR IN ANY WAY CONNECTED WITH, A THIRD PARTY'S
UNAUTHORIZED ACCESS TO YOUR PERSONAL INFORMATION, REGARDLESS OF WHETHER SUCH DAMAGES
ARE BASED ON CONTRACT, STRICT LIABILITY, TORT OR OTHER THEORIES OF LIABILITY, AND
ALSO REGARDLESS OF WHETHER BUY.COM WAS GIVEN ACTUAL OR CONSTRUCTIVE NOTICE THAT
DAMAGES WERE POSSIBLE. Portions of the Site may act as a venue for employers to
post job opportunities and candidates to post resumes and profiles and does not
screen or censor the listings, including Profiles offered. Cornerstone is not involved
in the actual transaction between employers and candidates. As a result, Cornerstone
has no control over Content posted by users of the Site, the quality, safety or
legality of the jobs or resumes posted, the truth or accuracy of the listings, the
ability of employers to offer job opportunities to candidates or the ability of
candidates to fill job openings and Cornerstone makes no representations about any
jobs, resumes or Content on the Site. Cornerstone may take any action with respect
to Content that it deems necessary or appropriate in its sole discretion if it believes
that such Content could create liability for Cornerstone, damage Cornerstone's brand
or public image, or cause Cornerstone to lose (in whole or in part) the services
of its ISPs or other suppliers. While Cornerstone reserves the right in its sole
discretion to remove Content, job postings, resumes or other material from the Site
from time to time, Cornerstone does not assume any obligation to do so and disclaims
any liability for failing to take any such action.
LIABILITY OF CORNERSTONE AND ITS AFFILIATES OR SUPPLIERS
The use of the GenerationsUnite Site and the Content is at your own risk.
When using the GenerationsUnite Site, information will be transmitted over a medium
that may be beyond the control and jurisdiction of Cornerstone and its suppliers.
Accordingly, Cornerstone assumes no liability for or relating to the delay, failure,
interruption, or corruption of any data or other information transmitted in connection

THE INFORMATION, CONTENT, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE

SITE FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH
INFORMATION, CONTENT, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS ARE PROVIDED
"AS IS" WITHOUT WARRANTY OR CONDITION OF ANY KIND. CORNERSTONE AND/OR ITS SUPPLIERS
HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, CONTENT,
SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES
OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
CORNERSTONE, ITS SUPPLIERS, OR ANY THIRD PARTIES MENTIONED ON THE GENERATIONSUNITE
SITE ARE NOT LIABLE FOR ANY PERSONAL INJURY, INCLUDING DEATH, CAUSED BY YOUR USE
OR MISUSE OF THE SITE, CONTENT, OR COMMUNICATIONS SERVICES. ANY CLAIMS ARISING IN
CONNECTION WITH YOUR USE OF THE SITE, ANY CONTENT, OR THE COMMUNICATIONS SERVICES

CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES
FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE
USE OR PERFORMANCE OF THE GENERATIONSUNITE SITE, WITH THE DELAY OR INABILITY TO
USE THE GENERATIONSUNITE SITE OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO

STRICT LIABILITY OR OTHERWISE, EVEN IF CORNERSTONE SOLUTIONS GROUP OR ANY OF ITS
SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS
DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL
DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH
ANY PORTION OF THE GENERATIONSUNITE WEB SITE, OR WITH ANY OF THESE TERMS OF USE,
YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE GENERATIONSUNITE SITE.

INDEMNITY
You agree to defend, indemnify, and hold Cornerstone, its officers, directors, employees,
agents, licensors, and suppliers, harmless from and against any claims, actions
or demands, liabilities and settlements including without limitation, reasonable
legal and accounting fees, resulting from, or alleged to result from, your violation
of these Terms and Conditions.
TERMINATION/ACCESS RESTRICTION
Cornerstone reserves the right, in its sole discretion, to terminate your access
to the GenerationsUnite Site and the related services or any portion thereof at
any time, without notice.
GENERAL
To the maximum extent permitted by law, this agreement is governed by the laws of
the State of Missouri, U.S.A. and you hereby consent to the exclusive jurisdiction
and venue of courts in St. Louis County, Missouri, U.S.A. in all disputes arising
out of or relating to the use of the GenerationsUnite Site. Use of the GenerationsUnite
Site is unauthorized in any jurisdiction that does not give effect to all provisions
of these terms and conditions, including without limitation this paragraph. You
agree that no joint venture, partnership, employment, or agency relationship exists
between you and Cornerstone as a result of this agreement or use of the GenerationsUnite
Site. Cornerstone's performance of this agreement is subject to existing laws and
legal process, and nothing contained in this agreement is in derogation of Cornerstone’s
right to comply with governmental, court and law enforcement requests or requirements
relating to your use of the GenerationsUnite Site or information provided to or
gathered by Cornerstone with respect to such use. If any part of this agreement
is determined to be invalid or unenforceable pursuant to applicable law including,
but not limited to, the warranty disclaimers and liability limitations set forth
above, then the invalid or unenforceable provision will be deemed superseded by
a valid, enforceable provision that most closely matches the intent of the original
provision and the remainder of the agreement shall continue in effect. Unless otherwise
specified herein, this agreement constitutes the entire agreement between the user
and Cornerstone with respect to the GenerationsUnite Site and it supersedes all
prior or contemporaneous communications and proposals, whether electronic, oral
or written, between the user and Cornerstone with respect to the GenerationsUnite
Site. A printed version of this agreement and of any notice given in electronic
form shall be admissible in judicial or administrative proceedings based upon or
relating to this agreement to the same extent an d subject to the same conditions
as other business documents and records originally generated and maintained in printed
form. It is the express wish to the parties that this agreement and all related
documents be drawn up in English.
TRADEMARKS
The names of actual companies and products mentioned herein may be the trademarks
of their respective owners.
NOTICES AND PROCEDURE FOR MAKING CLAIMS OF COPYRIGHT INFRINGEMENT
Pursuant to Title 17, United States Code, Section 512(c)(2), notifications of claimed
copyright infringement under United States copyright law should be sent to Service
Provider's Designated Agent. ALL INQUIRIES NOT RELEVANT TO THE FOLLOWING PROCEDURE
WILL RECEIVE NO RESPONSE. See Notice and Procedure for Making Claims of Copyright
Infringement.
NOTICE AND TAKEDOWN PROCEDURES; AND COPYRIGHT AGENT.
If you believe any materials accessible on or from the Site infringe your copyright,
you may request removal of those materials (or access thereto) from this web site
by contacting GenerationsUnite's copyright agent (identified below) and providing
the following information:
Identification of the copyrighted work that you believe to be infringed. Please
describe the work, and where possible include a copy or the location (e.g., URL)
of an authorized version of the work. Identification of the material that you believe
